Buy Side Services:
For the Buy side clients, Tholons Capital provides end to end services from target search to due diligence and closing, and also provides funding assistance as required.
Target Search
Tholons' deep experience and consulting background in the services space helps us understand the acquisition objectives better, enabling us to draw a clear target firm profile. Using a combination of strong research and unmatched network in the industry, we draw up a list of close fit opportunities, and help the client shortlist.
Valuation & Deal Structuring
At this stage, Tholons Capital conducts a valuation exercise of the short listed firms and facilitates discussions to arrive at a consensus on the transaction values and structures. In parallel, we draw up an LOI encompassing the commercial and other terms of the transaction, and ensure a buy-in from both sides.
Tholons Capital also works with the clients to identify any funding requirements, and determine sources to plug the gap.
Due Diligence and Deal Closing
Tholons Capital uses its proprietary operational due diligence framework backed by over a decade of experience across more than 200 globalization transactions to drive deep into the target firm's operations, and give the client an accurate picture of the strengths, and shortcomings of the target, and how they relate to the acquisition objectives.
In addition we facilitate Legal, Accounting and Tax due diligence through our global partners, and drive the deal to closure with the right structure, and within a pre-defined time frame.
Sell Side Services:
Tholons Capital provides a complete suite of services to our sell side clients, ranging from helping them raise funds for their growth/expansion investments to sale or strategic partnerships.
Collateral Preparation
Tholons Capital works with the management team to prepare detailed collateral of the client, including the industry and competitive landscape, services offered, management and executive team profiles, growth strategy and future outlook. The collateral is tailored to the target audience, profiled meticulously given the strategic intent of the initiative.
Partner Search
Based on the target profile, Tholons Capital does a comprehensive coverage of the industry to list out the prospective partners. Leveraging our unmatched network in the industry, we are able to access the right stakeholders within these firms to make a case for the partnership/acquisition. Based on the interest levels, we draw up a short list of serious prospects to initiate further discussions.
Negotiation and Deal Structuring
Tholons Capital facilitates discussions around the proposed transaction based on the offers from short listed entities, and works with the clients' executive team to negotiate an agreement on the best case valuation and structure. This is done with a view to protect and serve the interests of the various stakeholders and the firm as a whole.
Due Diligence and Deal Closing
Tholons Capital facilitates the entire process of due diligence and final agreement to drive the transaction to closure.
